Jon M. Jenkins (Jay), a partner in our New York office, is the co-director of the Corporate Department. Mr. Jenkins practices in the area of corporate, banking and securities law with special emphasis on domestic and international secured lending transactions, international trade finance and mergers and acquisitions. He has advised on international corporate finance transactions, private equity transactions, corporate governance matters and public and private securities transactions, representing public and private companies, investment banks, commercial bank and high net worth individuals.

Representative Client Work

  • Representation of commercial banks in secured lending transactions ranging from $5 million to $350 million with borrowers in many different industries
  • Negotiation of revolving lines of credit for various multi-city restaurant and entertainment operations
  • Preparation of accounts financing facility for manufacturer of dental components
  • Representation of commercial bank in connection with secured loan facility to distributor of oil, natural gas and other fuels
  • Representation of private high net worth investors in acquisitions of preferred stock and convertible debt in ventures in the United States and abroad
  • Negotiation of Agreement and Plan of Merger of two NYSE-traded companies
  • Representation of international bank in connection with accounts receivable loan facilities in transactions in the Czech Republic, Sweden, Mexico, Brazil and Argentina
  • Representation of banks and other financial institutions in connection with all aspects of trade finance, including varied export/import receivables financing, letter of credit facilities and forfaiting
