Jeffrey M. Karp is the co-leader of Sullivan & Worcester’s Climate-Related Business & Technology Practice Group. The group brings together practitioners from across the firm’s legal disciplines, and its offices in Boston, New York, Washington, D.C., and Tel Aviv, to advise clients regarding legal, regulatory, legislative and policy issues involved in conducting business in a carbon constrained world. The Group further seeks to facilitate opportunities for clients to participate in climate-related and alternative energy programs, projects, businesses, transactions and markets worldwide. Mr. Karp assists clients in developing clean tech, renewable energy, and greenhouse gas emission reduction projects and provides advice regarding participation in carbon trading and renewable energy credit transactions. He has substantial experience concerning the legal, contractual and regulatory issues involved in conducting large-scale infrastructure development and construction projects, including seeking the required government authorizations, and negotiating the necessary project agreements. Mr. Karp also is a partner in the Environment & Natural Resources Group in the firm’s Washington, D.C. office. Mr. Karp has been in private practice since 1990, after serving as a litigator and a managing attorney at the United States Department of Justice.

Representative Client Work
- Provides regulatory support and prepares contractual agreements for solar energy projects developed under the Massachusetts solar carve-out renewable energy credit program
- Assists Israeli clean technology and alternative energy companies seeking to access capital markets, license their technologies, and market their products in the U.S.
- Advises clients in structuring renewable energy and energy efficiency projects to qualify for participation in government incentive programs
- Advised a county solid waste commission regarding potential approaches to monetizing landfill gas assets, and prepared contract terms to facilitate transaction with renewable energy developer
- Advised companies concerning the availability under the American Recovery and Reinvestment Act of grants and/or tax credits to further develop renewable energy technologies, and fund installation of alternative energy heating and power systems
- Advised an Israeli chemical company regarding the qualification of proposed fuel switch projects to generate eligible carbon emission reduction credits under the Kyoto Protocol’s Clean Development Mechanism program
- Assisted a Canadian company in negotiating sale of carbon credits to a U.S. company from a landfill gas emission reduction project
- Advised a developer regarding the qualification of a proposed Panamanian forestry emission reduction project to generate saleable carbon credits
- Advised an Israeli clean energy company regarding the addition of a carbon credit component to its waste-to-energy technology
- Advised a Mexican company seeking to pre-sell carbon emission reduction credits from a methane avoidance project to an international compliance trader
- Advised insurance carriers in developing new insurance products for the U.S. market pertaining to alternative energy and carbon emission reduction projects
- Advised an Israeli carbon technology and trading company regarding the sale of carbon emission reduction credits in worldwide voluntary markets
- Developed a due diligence plan for a venture capital company and a clean-fuel technology developer for a transaction with an electric utility company
- Assisted a client in performing environmental due diligence for a transaction to site and construct a new power generating facility, and counseled the client regarding the potential impact on the project of future climate-related legislation
- Advised an international consumer products manufacturer regarding the U.S. federal and state requirements governing the marketing of “green” products
- Evaluated “green” product claims of a client’s competitors, and sought action by U.S. federal and state regulatory authorities for claims lacking substantiation
- Gained inclusion in Leadership for Energy and Environmental Design (LEED) Green Building Rating System for Existing Buildings of credits in the operation and maintenance category for a manufacturer of battery-operated landscaping equipment
- Advised a manufacturer of new energy efficiency and conservation products of opportunities to gain marketplace advantage through existing United States government incentive and consumer education programs, and by supporting pending federal and state legislative and regulatory programs
