Nicholas V. Perricone is an associate in the Corporate Department of our Boston office. Mr. Perricone focuses on corporate transactions for public and private companies in a variety of industries, including securities, financing, banking, real estate investment, software services, and more. He also provides general corporate assistance to emerging and established companies. He is involved in federal securities law research and compliance, private equity and bridge loan financings, representation of limited partners in private equity fund investments, mergers and acquisitions, corporate restructurings, recapitalizations and consolidations.

- Represented public companies in annual and period reporting and compliance with federal and state securities regulations
- Represented public issuers in equity and debt offerings of more than $1 billion in the aggregate
- Represented several privately held emerging companies in bridge financings and convertible preferred stock financings
- Assisted in the formation of a fund of funds and represented several investors in private equity fund investments
- Drafts transaction documents, oversees due-diligence process, draft disclosure schedules and other ancillary documents in connection with mergers, asset sales and stock sales
- On-going representation of a privately held emerging technology company, including the routine preparation and negotiation of master services agreements, licensing agreements, nondisclosure agreements and consulting and employment agreements with universities, federal laboratories and commercial enterprises
