Nicole Rives

Partner

Nicole Rives is a partner in the Corporate Department of our Boston office. Her practice consists primarily of representing institutional investors in secured and unsecured financings, debt private placements and equity transactions, with a focus in middle market mezzanine debt and private equity investments. She also works with equity investors in alternative asset classes, including timber, agricultural land and other natural resources and has broad experience in advising public and private companies in connection with mergers, acquisitions, shareholder issues and other corporate matters. Ms. Rives is currently secretary and a former trustee of the American College of Investment Counsel.

Representative Client Work

  • Represented life insurance companies and other institutional investors in structuring and acquiring over $600 million of senior notes including transactions involving real property and equipment security in multi-state transactions
  • Represented life insurance companies and other mezzanine investors in structuring and acquiring over $1 billion of subordinated notes and private equity co-investments, including transactions involving second liens
  • Represented a publicly traded real estate investment trust in over $500 million of strategic acquisitions
  • Represented a life insurance company in connection with the conversion of limited partnership interests into $135 million of publicly traded units in a Canadian income fund
  • Represents a institutional investment asset manager in connection with its advisory contracts with multi-national institutional clients
