SEC Lifts Ban on General Solicitation and Proposes New Rules for Private Offerings

As required by the JOBS Act, at long last the Securities and Exchange Commission has adopted its greatly anticipated rules lifting the ban on general solicitation and advertising in certain private securities offerings under Rules 506 and 144A. By allowing companies direct access to a pool of potential investors, these rules represent perhaps the most significant change to federal securities laws in recent history.
