Delaware Court Reviews Executive Compensation Issues

This Report highlights several recent issues concerning executive compensation in the current economic climate, with an emphasis on a decision issued by the Delaware Court of Chancery in In re Citigroup, Inc. Shareholder Derivative Litigation. The Court in Citigroup denied the company's motion to dismiss a shareholder claim for corporate waste based on "excessive" executive compensation, and reminded corporate boards that their discretion to set executive compensation is "not unlimited."
