Our Tax Briefings seminar, “S Corporation Update: Income & Estate Tax Planning for S Shareholders,” was led by Joseph B. Darby III and Brian E. Hammell. The program provided a focused review of income-tax and estate-tax planning for businesses operated through an S corporation and its full “life cycle”: from the initial choice of business entity; to the proper method to elect – and retain – S status; to the daily operations of the S corporation; to distributions of money and property to shareholders; to borrowing funds from a lender for investment or distribution; to the sale, liquidation and termination of the entity; and finally to the estate planning issues involved in transferring an S corporation to successor generations of the family. The seminar offered a practical “hands on” update on how to operate this popular but often surprisingly complex business vehicle.
