Sullivan & Worcester's first program in its Tax Briefings 2014 series was led by S&W lawyers Joseph B. Darby III, Amy E. Sheridan and Brian E. Hammell. Their presentation, "Living and Dying with an S Corporation," covered the full "life cycle" of operating a business through an S corporation: from the initial choice of business entity; to the proper method to elect – and retain – S status; to the daily operations of the S corporation; to distributions of money and property to shareholders; to the sale, liquidation and termination of the entity; and finally to the estate planning issues involved in transferring an S corporation to successor generations of the family. The seminar provided a practical "hands on" update on how to operate successfully this popular but often complicated business vehicle.
