What provisions should be included in purchase agreements relating to the status of leases and rents, tenant defaults, brokerage, rights of first refusal, options to purchase, and other important clauses
The representations and warranties that commercial lenders should require from a borrower as a condition of closing, including, but not limited to, status of the borrower, legal compliance, financial covenants, pending or threatened litigation, and remedies for a breach of representation or warranty
Issues involved in environmental indemnifications and allocation of risk between landlords and tenants
The role of the attorney in advising a client on issues to be addressed by owners (landlords), tenants, and lenders
