Richard H. Goldman chaired and Sander Ash spoke at a Massachusetts Continuing Legal Education (MCLE) program on "What Every Real Estate Lawyer Needs to Know About Representations, Warranties, Indemnity Agreements & Insurance." The seminar covered the following topics: 

  • What provisions should be included in purchase agreements relating to the status of leases and rents, tenant defaults, brokerage, rights of first refusal, options to purchase, and other important clauses
  • The representations and warranties that commercial lenders should require from a borrower as a condition of closing, including, but not limited to, status of the borrower, legal compliance, financial covenants, pending or threatened litigation, and remedies for a breach of representation or warranty
  • Issues involved in environmental indemnifications and allocation of risk between landlords and tenants
  • The role of the attorney in advising a client on issues to be addressed by owners (landlords), tenants, and lenders
