Sullivan & Worcester Launches Corporate Governance and Board Advisory Practice
Washington, D.C., November 9, 2017 - The international law firm Sullivan & Worcester LLP announced today the launch of the firm’s Corporate Governance & Board Advisory practice. The group consists of seasoned advisors from across the Sullivan & Worcester international platform whose focus is on working with Boards of Directors, Independent Directors and senior corporate leadership to manage the legal aspects of compliance, governance and shareholder engagement issues. The Corporate Governance and Board Advisory practice group will be led by Washington, D.C. Partner Nicole Marie Crum, a member of the Investment Management Group.
"The evolving and complex issues facing today’s Boards and corporate leadership require a close relationship with seasoned legal counsel," Crum said. "We serve as counsel to Boards, corporate leadership and third-party advisers on a broad range of existing and emerging matters. Our team has a deep reservoir of knowledge, practical skills and, perhaps most importantly, judgment, upon which to draw for our clients. Our advice ensures that our clients are well equipped to address both the routine and inevitably difficult situations that arise. This practice developed in response to growing demand from clients."
David Mahaffey, managing partner of the firm’s Washington, D.C. office and co-leader of the Investment Management practice will be among the firm’s attorneys working with Crum on the Corporate Governance and Board Advisory practice. "Our nationally recognized Investment Management Group advises more than twenty-five boards or fund groups responsible for over $600 billion in assets. This practice builds on that experience and our extensive experience representing public, private and non-profit boards and executive management on corporate governance and capital markets matters in a diverse range of industries, including technology companies, pharmaceutical firms and REITs. Nicole is well known as a trusted adviser to clients. She is a collaborative leader and a perfect fit to lead this new practice," Mahaffey said.
The firm counsels clients on a wide array of legal matters including duties of Boards and independent directors, such as Board and committee structure, risk management, disclosure issues, and other compliance matters. The firm guides clients through complex and high risk decision-making, as well as fact-finding concerning potential violations of laws or regulations; addressing real or perceived conflicts of interests; responding to shareholder demands; and managing client responses to investigations and enforcement actions by governmental authorities and related private litigation.
