S&W Press Release
September 16, 2015

New York, NY – September 16, 2015 – Sullivan & Worcester is pleased to announce that Hayden S. Baker, Jeffrey R. Gleit and Roy C. Andersen have joined the New York office in the Environment & Natural Resources, Bankruptcy & Restructuring, and Finance Groups respectively.

Mr. Baker is a partner who advises clients on a broad range of environmental and energy matters, with an emphasis on mergers and acquisitions, infrastructure projects, real estate transfers and development, securities offerings, financing transactions, corporate restructurings and litigation. He has won recognition from The Legal 500 and Chambers USA. His arrival further expands the depth and reach of Sullivan & Worcester’s environmental, energy and corporate practices.

Mr. Baker is particularly well regarded for his sophisticated, practical approach to transactions, having represented companies, private equity investors and financial institutions in hundreds of transactions, totaling well over $100 billion in investment. Mr. Baker regularly counsels clients on issues affecting the energy, chemicals, mining and manufacturing sectors. He also advises clients on compliance and emerging regulatory requirements, contamination, permitting, insurance, sustainability issues, governmental enforcement and commercial agreements. He joins the firm from Davis Polk & Wardwell, where he was counsel.

Mr. Gleit is a partner whose practice consists of representing debtors, creditors, creditor groups and investors in restructuring distressed companies. Mr. Gleit works with clients in a variety of industries, including financial, energy, automotive, retail, telecommunications, and manufacturing. He was also recognized by Law360 as a "Rising Star" in 2014, and was selected by Turnarounds & Workouts as an "Outstanding Young Restructuring Lawyer" in 2012. He joins the firm from Togut, Segal & Segal in New York.

Mr. Andersen is of counsel and has focused on bank regulatory and compliance matters for his entire career; starting at the Federal Reserve Bank of New York and continuing at major law firms and two international banks where he was general counsel. His principal focus is on international banks and their branches and agencies in New York. Upon establishment, he has advised these offices on the application of Federal and New York laws to their activities and operations. He represents New York and federally-licensed banks and their holding companies. For over 10 years, Mr. Andersen was responsible for and worked closely with the large compliance teams at two foreign banks. This period coincided with the adoption in the United States of the USA Patriot Act with its intense focus on anti-money laundering and anti-terrorist financing restrictions. He has also drafted and negotiated loan documentation and advised on issues arising out of financial transactions, including lending limits, tying restriction, and the affiliate transaction rules contained in the Fed’s Regulation W. He joins the firm from Connell & Andersen in New York.

“We are very excited to have these excellent and highly experienced lawyers join us in New York,” said Managing Partner Joel Carpenter. “Not only will they bolster our New York presence, they will be able to help our clients in critical new areas, including environmental law, bankruptcy and banking and financial services regulation.”
