S&W Press Release

Boston, MA --- Executives and other professionals who need a simple, yet comprehensive resource to help them understand the M&A process now have a book that fully explains the legal, business and economic issues that face companies looking to be acquired. Written by Edwin Miller, a partner with Boston’s Sullivan & Worcester LLP, Mergers and Acquisitions: A Step-by-Step Legal and Practical Guide (2008, Wiley) offers practical M&A advice for management, investors, legal and business professionals, and law and business school students. The book covers a wide range of issues including corporate finance fundamentals, critical early steps in the acquisition process, structuring transactions to achieve the best economic result, tax considerations for both buyers and sellers, and leveraged buyouts and acquisitions of troubled businesses.

“Early mistakes in the M&A process can have devastating consequences at later stages,” explains Miller.  “I wanted to use my 35 years of experience in corporate and securities law to help people understand how to negotiate and execute a deal as well as to avoid some of the pitfalls. For example, many entrepreneurs are unaware that issues raised at the letter of intent stage can foreclose a seller from negotiating those issues at the definitive agreement stage.”

“Buyers and sellers both hope to be winners in an acquisition. But at the negotiating table, there is only one winner for each point, and winning may mean a significant change in the deal economics,” said Todd Koopersmith, Vice President of Business Development for global information protection and storage services provider Iron Mountain. “Mergers and Acquisitions offers insights crucial for both buyers and sellers and lays out the rationale for both sides of money issues and other important deal points.”
